Senior Company Secretary - Fully Remote - Ireland

Fully remote anywhere in Ireland/Northern Ireland.

Overview

We are eager to hear from candidates who has experience with 4+ funds years' experience in a similar role. 

Reporting to the Head of Corporate Services you will be responsible for a portfolio of fund clients, domiciled in the Cayman Islands, Bermuda, the U.S. and/or BVI, will manage multiple client relationships and, in a review capacity, will monitor and direct the activities of those within the department. 

The successful applicant will:

  • Develop and maintain strong professional relationships with key internal and external stakeholders and promoting our offering.
  • Organisation of Board, Board Committee and shareholder meetings, including the production/ review of materials in advance of such meetings and minutes thereafter.
  • Assist with changes to funds’ Boards of directors, service providers etc. and the necessary notifications and documents relating thereto.
  • Ensure that all actions taken, and agreements entered into by funds, are duly considered and authorised by the Board of directors.
  • Produce and/ or review draft resolutions, as required.
  • Liaise with registered offices in respect of requisite filings to be made for each fund and to make and/or monitor all necessary registrations with governmental and similar agencies in the jurisdiction of each fund.
  • Assist with the opening of bank accounts for funds and the documentation required for account opening.
  • Liquidation process of funds which have ceased trading.
  • Training of junior members of the team.

Experience Required

Essential Criteria:

  • A qualified company secretary with excellent academic credentials (2:1 or above)
  • 4+ years’ experience in a Funds environment
  • Excellent commercial approach.
  • Relevant experience working in either a professional services firm or in-house company secretarial team.
  • Be ICSA qualified or Part Qualified (desirable)

Technical & Personal Skills:

  • Maturity and ability to liaise with people at all levels of the Firm, and to represent the Firm externally to clients and the wider market.
  • Excellent communication skills.
  • Exceptional attention to detail and a strong "client first" approach to service.
  • Ability to managing tight deadlines and see tasks through to the end.
  • Tech savvy and keen to learn new systems and technologies.
  • A positive team member and active contributor in a team environment.
  • Excellent organisational, prioritisation and problem-solving skills.
  • Commercially astute.
